Terms of Service

These Terms of Service ("Terms") govern your access to and use of Simplventory (the "Service"), operated by Xentric Labs("we," "us," or "our"), Neerav Vyas.
This document is product draft copy for publishing on Simplventory pages — not legal advice. Have counsel review before relying on it in production.
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
Simplventory is a personal inventory tool that lets you:
- Organize items by spaces
- Upload photos and item details
- Export inventory data (including CSV exports that may help with insurance documentation)
- Optionally use AI to suggest item details from photos you provide
The Service is provided for personal, non-emergency use. Exports and stored values are tools you control; they are not insurance policies, appraisals, or guarantees of coverage or reimbursement.
2. Eligibility
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
You are responsible for:
- Providing accurate account information
- Keeping your password confidential
- All activity under your account
Notify us promptly if you suspect unauthorized access. We may suspend or terminate accounts that appear compromised, abusive, or in violation of these Terms.
Authentication is provided via email/password through our provider (Supabase).
4. Your content
You retain ownership of content you upload or create in the Service ("Your Content"), including photos, item details, and space information.
You grant us a limited, worldwide, non-exclusive license to host, store, process, display, and transmit Your Content solely as needed to operate and improve the Service (including backups and security).
You represent that you have the rights needed to upload Your Content and that Your Content does not violate law or third-party rights.
We do not claim ownership of Your Content. You can export or delete content subject to the Service's features and our retention practices described in the Privacy Policy.
5. Acceptable use
You agree not to:
- Use the Service for unlawful, harmful, or fraudulent purposes
- Upload malware, or attempt to disrupt or probe the Service
- Access another user's account without permission
- Scrape, reverse engineer, or overload the Service except as allowed by law
- Misrepresent inventory data in a way intended to commit fraud (including insurance fraud)
- Use the Service to store content you have no right to store
- Resell or misuse the Service in a way that violates these Terms
We may remove content or suspend access if we reasonably believe these rules are violated.
6. Insurance and third-party decisions
Simplventory may help you organize records and export CSVs. We do not provide insurance, insurance advice, legal advice, or valuation services. Insurers, adjusters, and other third parties make their own decisions. We are not responsible for claim outcomes, coverage disputes, or how third parties interpret your exports.
7. Fees (if applicable)
Some features may be free; others may require a paid subscription. Prices, billing intervals, and plan limits will be shown at purchase or on our pricing page. Unless stated otherwise:
- Fees are charged in advance
- Taxes may apply
- Except where required by law, fees are non-refundable
- You can cancel renewals according to the cancellation flow we provide; access continues through the paid period already purchased
Payment processors handle card details under their terms.
8. Intellectual property
The Service — including software, design, branding, and documentation — is owned by us or our licensors and protected by intellectual property laws. These Terms do not transfer ownership of our IP to you. You may not copy, modify, or distribute our IP except as allowed by these Terms or with our written permission.
"Simplventory," related marks, and product branding are ours (or licensed to us).
9. Third-party services
The Service depends on third parties (including Supabase, hosting providers, and, if offered, payment processors). Their outages or changes may affect availability. Your use of third-party services may be subject to their terms.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that Your Content will never be lost. You are responsible for maintaining your own backups of important data (including exports).
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $100.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
12. Indemnity
You will defend and indemnify us against claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service and request account deletion at any time. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive.
14. Changes to the Service or Terms
We may modify the Service or these Terms. We will update the "Last updated" date and, for material changes, provide reasonable notice when practicable. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Service.
15. Governing law
These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules. Courts located in New York will have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our IP or security. (Update this section if your counsel prefers another state or arbitration.)
16. Miscellaneous
These Terms, plus the Privacy Policy and any plan-specific terms shown at purchase, are the entire agreement between you and us regarding the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices may be sent to your account email or posted in the Service.
